Terms and Conditions of Order

1. VALIDITY OF THE OFFER AND TERM OF THE AGREEMENT
1.1. The Service Provider’s written offer shall be valid for thirty (30) days from the date of issue, unless otherwise stated in the offer.
1.2. Unless otherwise agreed in the service agreement, the service agreement shall remain in force until further notice, subject to a one (1) month notice period.

2. INVOICING
2.1. The payment term applied to invoicing shall be fourteen (14) days net, unless otherwise agreed in the service agreement.
2.2. Late payment interest shall be determined in accordance with the Interest Act.
2.3. The Client shall have eight (8) days from the invoice date to submit any objections to the invoice.
2.4. The Service Provider shall have the right to adjust the fees payable under the service agreement during the contract period if labour costs change, for example due to wage increases in accordance with the applicable collective labour agreement.
2.5. The applicable service fees shall be subject to value added tax (VAT) at the rate in force at the time. 

3. WORKING PREMISES
3.1. The Client shall be responsible for ensuring that the premises, machinery, equipment and other occupational safety matters owned or controlled by the Client comply with the requirements of applicable legislation and agreements.
3.2. The Client shall provide the Service Provider with appropriate and sufficient working and storage facilities.

4. PERFORMANCE OF THE WORK
4.1. The Service Provider may use subcontractors to perform the tasks agreed under the service agreement.
4.2. Ordered work tasks must be cancelled by the Client no later than seven (7) days prior to the agreed date. If the order is cancelled later than this, the Service Provider shall be entitled to invoice the full price of the cancelled work.

5. AGREEMENT REGARDING PERSONNEL
5.1. The Client shall not, without the consent of the Service Provider, employ a person who is or has been employed by the Service Provider and who is performing or has performed services for the Client within the previous three (3) months. In the event of a breach of this provision, the Client shall pay the Service Provider compensation in the amount of five thousand (5,000) euros.
 
6. CONFIDENTIALITY
6.1. The parties undertake to keep confidential all business and professional secrets of the other party that come to their knowledge. The Service Provider’s offers, order confirmations, service agreements and other documents and their terms shall be confidential and subject to the provisions of this clause. The obligation of confidentiality shall remain in force after the termination of the contractual relationship.

7. LIABILITY FOR DAMAGES
7.1. The Service Provider shall be liable for any damage caused to the client by an employee in accordance with applicable law. Accordingly, the Service Provider shall not be liable for damage caused to the client by an employee in the course of work unless the damage is due to a lack of professional competence or training of the employee.
7.2. The Service Provider shall not be liable for indirect or consequential damages.
7.3. The Service Provider shall maintain statutory liability insurance, from which compensation shall be paid for damages for which the Service Provider is liable under applicable law.
7.4. The Client shall immediately notify the Service Provider of any damage and shall take prompt measures to limit the damage. Any claims for compensation shall be submitted to the Service Provider in writing no later than fourteen (14) days from the date on which the grounds for the claim were discovered or should have been discovered.
 
8. AMENDMENTS
8.1. The Service Provider may unilaterally make changes to the service agreement, service descriptions and any supplementary instructions by notifying the Client in writing at least thirty (30) days prior to the entry into force of such changes.
8.2. The parties may assign the service agreement or any part thereof to a third party without the written consent of the other party, for example in connection with the sale of the property or business operations.

9. FORCE MAJEURE
9.1. Neither party shall be liable for delays or damages resulting from an obstacle beyond its control, which could not reasonably have been taken into account at the time of entering into the agreement and the consequences of which could not reasonably have been avoided or overcome.
9.2. The affected party shall notify the other party without delay of the occurrence or cessation of a force majeure event.
 
10. TERMINATION OF THE AGREEMENT
9.1. Neither party shall be liable for delays or damages resulting from an obstacle beyond its control, which could not reasonably have been taken into account at the time of entering into the agreement and the consequences of which could not reasonably have been avoided or overcome.
9.2. The affected party shall notify the other party without delay of the occurrence or cessation of a force majeure event.

11. GOVERNING LAW
11.1. All agreements between the parties shall be governed by the laws of Finland.
11.2. Any disputes shall primarily be resolved through negotiations. If the parties fail to reach an agreement, disputes shall be resolved by the District Court of the Service Provider’s place of domicile.
